Warren D. Wolfson is a partner in the Corporate Practice. He has extensive experience representing clients in corporate matters, focusing on finance, mergers and acquisitions, as well as commercial leasing.
Prior to joining the Firm, Mr. Wolfson was with the law firm of Altman & Wolfson, LLP. Prior to that, he served as General Counsel to Fay’s Incorporated. While at Fay’s, Mr. Wolfson also held the positions of Senior Vice President and Secretary and served as a member of Fay’s Board of Directors.
Mr. Wolfson currently serves on the Board of Directors of KPH Healthcare Services, Inc. (formerly Kinney Drugs, Inc.) and as the company’s Corporate Secretary. He is also General Counsel for Cygnus Management Group, LLC.

- Served as lead counsel to Gemcor II, LLC in a transaction involving the purchase of assets of Gemcor II, LLC by Gemcor Automation, LLC and AIP/Aerospace Holdings, LLC.
- Served as lead counsel to Kinney Drugs, Inc. and the Kinney Drugs, Inc. Stock Ownership Plan in a transaction involving a Joint Exchange Offer to purchase all of the common shares of Kinney Drugs, Inc.
- Served as lead counsel to Fay’s Incorporated in a transaction involving the acquisition of Fay’s Incorporated by J.C. Penney Co., Inc.
- Served as lead counsel to Fay’s Incorporated in a transaction involving the sale of assets of the Wheels Division of Fay’s Incorporated to Western Auto Supply Company.
- Served as lead counsel to Fay’s Incorporated in a transaction involving the sale of assets of the Paper Cutter Division of Fay’s Incorporated to The Party Experience, Inc.
- Served as lead counsel to CMG Partners II, LLC in a transaction involving an investment by CMG Partners II, LLC into Ferris Industries, Inc.
- Served as lead counsel to Ferris Industries, Inc. in a transaction involving the merger of Ferris Industries, Inc. into Simplicity Manufacturing, Inc.
- Served as lead counsel to CMG Partners IV, LLC in a transaction involving an investment by CMG Partners IV, LLC in General-Electro Mechanical Corp.
- Served as lead counsel to General-Electro Mechanical Corp. in a transaction involving the sale of the assets of General-Electro Mechanical Corp. to Gemcor II, LLC and in the investment by Rand Capital SBIC, L.P. and the Buffalo and Erie County Industrial Land Development Corporation into Gemcor II, LLC.
- Served as lead counsel to New Monarch Machine Tool, Inc. in a transaction involving the purchase of the Monarch Machine Tool Division of Genesis Worldwide, Inc. by New Monarch Machine Tool, Inc.
- Served as lead counsel to Grand Boulevard Hotel Properties, LLC in a transaction involving the purchase of certain of the assets of St. Regis Holdings, LLC by Grand Boulevard Hotel Properties, LLC.
