Douglas J. Gorman is an associate in the Corporate and Banking & Finance Practices. He focuses his practice on assisting clients with various commercial and corporate matters, including providing advice and counsel on:

  • business start-up formations and choice of entity
  • domestic and international commercial contracts
  • financing transactions, credit facilities and security and intercreditor issues
  • recapitalizations
  • shareholder, member relations and disputes
  • general corporate governance issues for various business entities (including not-for-profit corporations, professional service entities, and 501(c)(3) organizations) 

Select general commercial matters Mr. Gorman regularly handles involve:

  • Uniform Commercial Code and Magnuson-Moss Act compliance
  • distributorship and representative agreements
  • consumer and business-to-business warranties
  • licensing agreements (including music licensing agreements)
  • non-competition covenants
  • management and independent contractor agreements
  • general business-to-business transactions

Mr. Gorman also advises clients, including local development corporations and commerce boards, on compliance matters relating to Public Authorities Law and international matters involving United States Free Trade Agreements, import and export issues, Harmonized Tariff Schedules, Certificates of Origin and Certificates of Free Trade. He handles numerous types of asset and stock acquisitions and mergers of all sizes and complexities, including leveraged acquisitions and stock-for-stock transactions, as well as private placements and stock issuances.

Prior to joining the Firm, Mr. Gorman practiced in the Mergers and Acquisitions group in the Wilmington, Delaware, office of Skadden, Arps, Slate, Meagher & Flom LLP. 

  • Served as lead counsel to a national coatings products manufacturer in the negotiation and closing of $10 million credit facility for, and the associated leveraged buyout of, a local competitor. 
  • Served as counsel to a regional retail chain in the negotiation and closing of a $110 million credit facility for an employee stock ownership plan (ESOP) purchase of outstanding equity.
  • Served as lead counsel to an international electrical components manufacturer in obtaining successive final determination rulings from the United States Office of Customs and Border Protection for North American Free Trade Agreement exemption from the Buy American Act.
  • Served as lead counsel to a national wood products manufacturer and its affiliates in the negotiating and closing of a $10 million stock-for-stock divestiture.
  • Served as counsel to an international aviation products distributor in the negotiation and closing of a $48 million stock sale to a publicly traded company.
  • Served as counsel to a national safety products manufacturer in the negotiation and closing of a $16 million sale of membership interest.
